RESOLVED that Mr. J. Patrick Woods be appointed to the position of City
Manager of the City of Saint John pursuant to Section 74 of the
Municipalities Act and the relevant provisions of An Act to Provide for the
Government of the City of Saint John, 1936, Chapter 94, 1 Ed., VII, 1936,
subject to the following terms and conditions -
Effective Date of Appointment
The appointment will become effective upon the execution by Mr.
Woods and the City of a Contract reflecting the terms and
conditions identified herein.
Duties and Responsibilities
The duties and responsibilities of the position of City Manager shall
be as described in policies existing, or as may be adopted by
Common Council from time to time as well as those described in
relevant legislation.
Base Salary
Base salary will be $167,500 per annum effective as of the date of
appointment to the position of City Manager. All compensation and
benefits related terms of Mr. Woods' employment will be based as
of the date of his appointment to the position of City Manager. Mr.
Woods' performance will be reviewed annually by the Mayor and
Council on or before July 1St and he would be eligible for annual
increments to the base salary as listed below subject to satisfactory
results on his performance review:
July 1, 2010 $2,500
July 1, 2011 $2,500
July 1, 2012 $2,500
July 1, 2013 $2,500
July 1, 2014 $ O
Cost of Living Increases
To remove any perception of conflict in terms of the City Manager's
making recommendations to Common Council with respect to the
cost of living adjustment to salary scales for City managers and
staff, the salary scale for the City Manager would be incremented
annually on January 1St of each year by the greater of 2.5% or CPI.
Consistent with the decision of Common Council, the salary scale
for the City Manager will not be adjusted on January 1 at, 2010.
Vacation
In addition to statutory holidays, Mr. Woods will be entitled to six (6)
weeks of annual vacation per year.
Benefits
Premiums for health/dental and travel insurance will be funded
100% by the City. Premiums for life insurance will be funded 75%
by the City and 25% by Mr. Woods.
Mr. Woods will be entitled to all other benefits to which employees
of the City are entitled in accordance with the policies of the City.
Vehicle
Mr. Woods will be provided with a mid-sized vehicle. Mr. Woods
will be expected to pay for fuel and other costs associated with
personal use of the vehicle outside the City.
Professional Development
The City will support ongoing professional development for Mr.
Woods including participation in annual conferences.
Retirement/Resignation Date
Mr. Woods must retire or resign not later than June 30, 2015. In
recognition of the provisions of Section 74 of the Municipalities Act:
a) Mr. Woods shall neither seek, nor accept if offered, an
employee-employer relationship with the City for any period
subsequent to June 30, 2015; and
b) The City shall neither offer to extend the employer-employee
relationship with Mr. Woods beyond June 30, 2015 nor to
establish a new employer-employee relationship with him
subsequent to that date.
Pension Plan
Mr. Woods will be required to be part of the pension plan of the City
of Saint John. His annual pension at retirement/resignation will be
equal to the greater of:
• $70,200; or
• 27 times the maximum Benefit Accrual Rate prescribed by
CRA at year of retirement or resignation.
The portion of the aforesaid pension which is in excess of that to
which he will be entitled under the City of Saint John Pension Act at
the time of his retirement shall be indexed the 2% per annum on
January 1 of each year.
Residency
The City of Saint John encourages its non-scheduled employees to
reside in the City of Saint John.
Retirement
Upon retirement at July 1, 2015, Mr. Woods will be provided with a
retirement benefit equivalent to six (6) months of his salary at that
time.
And further that the Mayor and Common Clerk be authorized to sign a
contract reflecting the aforesaid terms and conditions.

Subject: Appointments to Committees
The Committee of the whole offers the following for Council's consideration respecting
appointments to committees:
Planning Advisory Committee: to appoint Erik Kraglund for a three year term from January 1,
2010 to January 1, 2013.
Saint John Community Arts Board: to re-appoint Michele Brideau for a three year term from
January 18, 2010 to January 18, 2013, and Michael Wennberg for a one year term as Immediate
Past Chair to provide continuity and to assist the new Chair; and to appoint the following for
three year terms from January 18, 2010 to January 18, 10 13 as follows: Steve Carson, Signe
Gurholt, Stephen Tobias and John Rocca.
Municipal Plan Citizens' Advisory Committee: to appoint Gerry Lowe as the Planning
Advisory Committee's representative on the Citizens' Advisory Committee for a three year term
from January 18, 2010 to January 18, 2013.
Taxation Review Committee: to appoint Deputy Mayor Chase, Councillors Farren, Killen and
Mott with Councillor Killen as Chair.
